Terms of Service

SmartHubs grants you a limited, non-exclusive, non-transferable license to access and use our platform for your internal business purposes, subject to these terms and conditions. You may not:

• •Modify, copy, or create derivative works of the platform
• •Reverse engineer, decompile, or disassemble any portion of the service
• •Remove or alter any proprietary notices or labels
• •Use the platform for competitive analysis or benchmarking
• •Rent, lease, or lend the service to third parties
• •Use the platform for any illegal or unauthorized purpose
• •Attempt to gain unauthorized access to our systems
• •Interfere with the normal operation of the platform

When you create a SmartHubs account, you agree to:

• •Provide accurate, current, and complete information
• •Maintain the confidentiality of your account credentials
• •Notify us immediately of any unauthorized access
• •Accept responsibility for all activities under your account
• •Comply with all applicable laws and our policies
• •Ensure you have authority to bind your organization to these terms

You retain all rights to any data, documents, and content you upload to SmartHubs, including audit findings, workpapers, compliance documentation, and risk assessments. SmartHubs does not claim ownership of your content. However, you grant us the right to:

• •Store and maintain your data to provide our services
• •Use your data to generate analytics and improve our platform
• •Create backups and disaster recovery copies
• •Process your data as necessary to comply with legal requirements

You are responsible for ensuring your content does not infringe third-party rights and complies with applicable laws. SmartHubs may remove content that violates these terms or applicable law.

SmartHubs fees are based on your selected plan and subscription period. You agree to pay all fees in accordance with the pricing terms at the time of purchase.

• •Payment is due on the date specified in your invoice
• •We accept major credit cards and other payment methods as indicated
• •All fees are exclusive of applicable taxes unless otherwise stated
• •Failure to pay may result in suspension or termination of service
• •Refunds are subject to our refund policy

SmartHubs retains all intellectual property rights to the platform, including software, designs, features, and documentation. All rights not expressly granted are reserved. You may not use our trademarks without prior written consent.

You may use SmartHubs content for your internal business purposes only. Any other use requires our written permission.

SmartHubs is provided on an as-is and as-available basis. To the maximum extent permitted by law, SmartHubs disclaims all warranties, express or implied, including:

• •Implied warranties of merchantability and fitness for a particular purpose
• •Warranties regarding uninterrupted or error-free service
• •Warranties regarding the accuracy or completeness of content
• •Any other warranties arising from statute, common law, or custom

SmartHubs does not warrant that the platform will meet your specific requirements, that the service will be uninterrupted, timely, secure, or error-free, or that any errors will be corrected.

To the maximum extent permitted by law, SmartHubs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, arising from or relating to your use of the platform, even if advised of the possibility of such damages.

SmartHubs total liability under these terms shall not exceed the amount you paid for the service in the 12 months preceding the claim.

SmartHubs aims to maintain 99.5% uptime. However, we do not guarantee uninterrupted service. We may perform maintenance, updates, and repairs without notice. We will provide notice of scheduled maintenance when practicable.

We reserve the right to temporarily suspend or limit access to portions of the platform to perform maintenance or address security concerns.

SmartHubs may terminate or suspend your account immediately upon notice if you violate these terms or engage in unlawful conduct. Upon termination:

• •Your right to use the platform immediately ceases
• •You remain liable for any outstanding fees
• •We will make reasonable efforts to provide access to export your data
• •Certain provisions will survive termination

Before initiating legal action, you agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, either party may pursue mediation or arbitration as mutually agreed.
